Terms and Conditions for VillageLink/ Terms of Use

This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Your use of the application, services and tools are governed by the following terms and conditions (“Terms of Use”) and amendments made at the sole discretion of VillageLink. By mere use of the Application, You shall be contracting with VillageLink and these terms and conditions including the policies constitute Your binding obligations, with VillageLink.

The following Terms and Conditions (“Terms of Use”) and amendments made at the sole discretion of VillageLink, govern your (hereinafter referred to as “You”, “Your”, “User”, as applicable) access to and/or use of (either as a visitor or customer): “VillageLink” (hereinafter referred to as “Platform”, “We”, “Our”, “Us”, as applicable) mobile application, Sale of Products (as defined herein below) and provision of the Services (as defined herein below); provided by VillageLink from time to time.

Please read these terms carefully before using the platform. These terms constitute a binding, legal agreement between you and VillageLink. By accessing the services provided on the site, you agree with the terms in entirety.

Users are requested to carefully read the Terms of Use before using the Platform or registering on the Platform or accessing any material or information through the Platform. Through the continued use of the Platform, or accepting these Terms of Use at the time of creating an Account, Users accept these Terms of Use and agree to be legally bound by the same.

Eligibility

The Platform, is not available to minors i.e. persons under the age of 18 (eighteen) years or to any Users suspended or removed by VillageLink from accessing the Platform for any reason whatsoever. Users represent that they are of legal age to form a binding contract and are not a person barred from using or accessing the Platform under applicable law.

VillageLink reserves the right to refuse access to the Platform, at any time to new Users or to terminate or suspend access granted to existing Users at any time without any reasons for doing so.  Users shall not have more than 1 (one) active Account (as defined below) on the Platform. Additionally, Users are prohibited from selling, trading, or otherwise transferring their Account to another party or impersonating any other person for the purpose of creating an Account with the Platform.

Registration and Your account 

Subject to the acceptance of all the terms, conditions and notices contained in these Terms of Use and Privacy Policy, along with any amendments made by VillageLink at its sole discretion and posted on the Platform from time to time and subject to your registration on the Platform through the creation of an Account (as defined below), you are granted a personal, non-exclusive, non-transferrable, and limited right to access the Platform, avail the VillageLink Services and connect with Merchants and Delivery Partners on the Platform. Your ability to continue using the Platform and VillageLink Services is subject to your continued maintenance of an Account on the Platform.

In order to use the Platform and avail the VillageLink Services, You will have to register on the Platform and create an account with a unique user identity and password (“Account”). You will be required to enter Your personal information including Your name, contact details, email address and valid phone number while registering an Account. As part of the registration, You may be required to undertake a verification process to verify the information provided.

You shall be responsible for maintaining the confidentiality of your Display Name and Password and You shall be responsible for all activities that occur under your Display Name and Password. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the this Terms of Use, We shall have the right to indefinitely suspend or terminate or block access of your membership on the Application and refuse to provide You with access to the Application. In case there are any illegal activities of any nature being conducted from Your Account, you shall be reported to the respective Statutory Authority including the police.

Use of Application/ Services

VillageLink serves as a facilitator for transactions between Buyers and Sellers of personal & transport vehicles, Farm Machinery, Agri products, including livestock, implements, feeds, supplements, manures, fertilizers, herbicides, pesticides, household stuff, property sale, rent/lease, construction material & services, farm and non-farm labour services and handymen services and like products and services. 

VillageLink may, at its absolute sole discretion, add, modify, upgrade, extend or withdraw any of the VillageLink Services listed above from time to time, and at its sole discretion. VillageLink does not provide any guarantee that the VillageLink Services will be made available to You at all times.

You hereby agree and acknowledge that VillageLink is only a marketplace, and as such, only acts as a facilitator between Buyers and Sellers (as the case maybe) in order to initiate transactions with said Buyers and Sellers.

You hereby agree and acknowledge that VillageLink is not a party to any of the transactions that are initiated between Buyers or Sellers through the Platform and VillageLink shall not be liable in any manner or incur any liability with respect to the Items/services/products offered and/or performed by the Buyers or Sellers, as the case may be. Further, You hereby agree and acknowledge that VillageLink shall not be liable for the conduct, acts and/or omissions of the Buyers and Sellers (including their employees and consultants) in the course of providing or receiving the Items/services/products, or for any loss or damage.

You hereby agree that VillageLink shall not be liable for any conduct or misbehaviour or actions of Buyers or Sellers with respect to any transactions initiated on the Platform. Further, You agree that VillageLink has no control over the Items provided by the Sellers and therefore, VillageLink shall not incur any liability with respect to such Items and that the Sellers are responsible for the accuracy of their product listings and information.

VillageLink will not perform any Services that may result in any act that is immoral/unethical/unlawful/banned either under applicable law. VillageLink may also refuse to perform any task on the grounds that such task is prohibited under any contract to which VillageLink is a party.

Users understand and acknowledge that VillageLink by itself does not sell or provide any Items. VillageLink is not responsible for the quality, merchantability or fitness of the Items. Accordingly, in the event of any grievances arising from the transaction initiated by You on the Platform pertaining to purchase or sale of any product from any Seller, You may contact VillageLink support for routing your grievances to the Seller through the Platform.

VillageLink Services cannot be initiated for item(s) which are illegal, hazardous, dangerous, or otherwise restricted or constitute items which are prohibited by any statute or law or regulation. Such items include, but are not limited to, radio-active, incendiary, corrosive or flammable substances, hazardous chemicals, explosives, firearms or parts thereof and ammunition, firecrackers, cyanides, precipitates, gold and silver ore, bullion, precious metals and stones, jewellery, semi-precious stones including commercial carbons or industrial diamonds, currency (paper or coin) of any nationality, securities (including stocks and bonds, share certificates and blank signed share transfer forms), coupons, stamps, negotiable instruments in bearer form, cashier’s cheques, travellers’ cheques, money orders, passports, credit/debit/ATM cards, antiques, works of art, lottery tickets and gambling devices, animals for the purpose of slaughter, , human corpses, organs or body parts, blood, and other liquid diagnostic specimens, hazardous waste, wet ice, pornographic materials, contraband, bottled alcoholic beverages  or any intoxicant or narcotics and psychotropic substances.

Payment

You shall pay such subscription amount as indicated on the Platform with respect to the VillageLink Services availed and the towards the services utilized via the Platform. You may be charged separate listing fee or ad fee towards featuring your products or services. All payments made against the purchases/services on Platform by you shall be compulsorily in Indian Rupees acceptable in the Republic of India. Platform will not facilitate transaction with respect to any other form of currency with respect to the purchases made.

Users agree that VillageLink may use certain third-party vendors and service providers, including payment gateways, to process the payments made by Users on the Platform. VillageLink is not a party to financial transactions between buyers and sellers. Users are advised to exercise caution, visit the place of the seller / product, satisfy themselves with product / service information and use secure payment methods.

Payments for the subscrition, listing fee or ad fee available on the Site may be made UPI. VillageLink shall in no way receive or make payments to the Subscribers in the form of a facilitator in any form or way whatsoever. Therefore, You are required to exercise caution and satisfy Yourself before making any payments to any persons who You have interacted, dealt, met with through VillageLink.

Delivery

We are not providing any deliveries or any sort of assistance with any deliveries for or of the Subscribers or others on the platform of VillageLink. You are required to handle and manage all deliveries in any manner or of any sort with the fellow subscribers or others on the platform of VillageLink that you are interacting with.

 

Cancellation, Returns and Refunds

Please refer to our Cancellation, Refunds and Returns Policy provided on our Platform.

User Content

The information, photo, image, chat communication, text, software, data, music, sound, graphics, messages, videos or other materials transmitted, uploaded, posted, emailed or otherwise made available to us (“User Content”), are entirely your responsibility and we will not be held responsible, in any manner whatsoever, in connection to the User Content. You agree to not encourage or assist or engage others as well as yourself in transmitting, hosting, displaying, uploading, modifying, publishing transmitting, updating or sharing any information that

• belongs to another person and to which the user does not have any right to;
• is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libelous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, trolling, propoganda or otherwise unlawful in any manner whatever;
• harm minors in any way;
• infringes any patent, trademark, copyright or other proprietary rights;
• violates any law for the time being in force;
• deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
• impersonate another person;
• contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
• threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

VillageLink reserves the right to remove any content that violates these terms.

VillageLink shall in no way be held responsible for examining or evaluating User Content, nor does it assume any responsibility or liability for the User Content. VillageLink does not endorse or control the User Content transmitted or posted on the Site by you and therefore, accuracy, integrity or quality of User Content is not guaranteed by VillageLink. Under no circumstances will VillageLink be liable in any way for any User Content, including without limitation, for any errors or omissions in any User Content, or for any loss or damage of any kind incurred by you as a result of the use of any User Content transmitted, uploaded, posted, e-mailed or otherwise made available via the Site/App. You hereby waive all rights to any claims against VillageLink for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with User Content.

You hereby acknowledge that VillageLink has the right (but not the obligation) in its sole discretion to refuse to post or remove any User Content and further reserves the right to change, condense, or delete any User Content. Without limiting the generality of the foregoing or any other provision of these Terms and Conditions, VillageLink has the right to remove any User Content that violates these Terms and Conditions or is otherwise objectionable and further reserves the right to refuse service and/or terminate accounts without prior notice for any users who violate these Terms and Conditions or infringe the rights of others.

Communication 

When You use the Platform or send emails or other data, information or communication to us, You agree and understand that You are communicating with Us through electronic records and You consent to receive communications via electronic records from Us periodically and as and when required. We may communicate with you by email or by such other mode of communication, electronic or otherwise.

Representation warranty

• You agree to use the Platform only for purposes that are permitted by this Terms of Use and in accordance with any applicable law, regulation or generally accepted practices or guidelines. You agree not to engage in activities that may adversely affect the use of the Platform.
• You represent and warrant that You have not received any notice from any third party or any governmental authority and no litigation is pending against You in any court of law, which prevents You from accessing the Platform and/or availing the VillageLink Services.
• You represent and warrant that You are legally authorised to view and access the Platform and avail the VillageLink Services.
• You agree not to access (or attempt to access) the Platform by any means other than through the interface that is provided by VillageLink. You shall not use any deep-link, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform, or in any way reproduce or circumvent the navigational structure or presentation of the Platform, materials or any VillageLink Property, to obtain or attempt to obtain any materials, documents or information through any means not specifically made available through the Platform.
• You shall not make any negative, denigrating or defamatory statement(s) or comment(s) about Us or the brand name or domain name used by Us or otherwise engage in any conduct or action that might tarnish the image or reputation, of VillageLink or its associate companies or sellers on platform or otherwise tarnish or dilute any VillageLink’s trade or service marks, trade name and/or goodwill associated with such trade or service marks, trade name as may be owned or used by us. You agree that You will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Website or VillageLink’s systems or networks, or any systems or networks connected to VillageLink.
• You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Platform or any transaction being conducted on the Platform, or with any other person’s use of the Platform.
• You acknowledge and agree that by accessing or using the Platform, You may be exposed to content from others that they may consider offensive, indecent or otherwise objectionable. VillageLink disclaims all liabilities arising in relation to such offensive content on the Platform.
• Without prejudice to the above, VillageLink makes no representation or warranty that the VillageLink Services will meet the Users requirements.

 

Intellectual property

The Platform and process, and their selection and arrangement, including but not limited to, all text, videos, graphics, user interfaces, visual interfaces, sounds and music (if any), artwork, algorithm and computer code (and any combination thereof), compilations and databases of Accounts and Account details, except any third party software available on the Platform, is owned by VillageLink and is a “VillageLink Property” and the design, structure, selection, co-ordination, expression, look and feel and arrangement of such VillageLink Property is protected by copyright, patent and trademark laws, and various other intellectual property rights. Users are not permitted to use VillageLink Property without the prior written consent of VillageLink.

The trademarks, logos and service marks displayed on the Platform (“Marks”) are the property of VillageLink, except any trademark, logos and service marks of third parties available on the Platform. Users are not permitted to use the Marks without the prior consent of VillageLink or such third party as may be applicable.

Disclaimer

• The Platform, and VillageLink Services are provided by VillageLink on “as is” basis without warranty of any kind, express, implied, statutory or otherwise, including the implied warranties of title, non-infringement, merchantability or fitness for a particular purpose. Without limiting the foregoing, VillageLink makes no warranty that
• the Platform, VillageLink Services will meet Your requirements or use of the Platform will be uninterrupted, timely, secure or error-free;
• the quality of the Platform will meet Your expectations; or
• any errors or defects in the Platform will be corrected.
• VillageLink will have no liability related to any User content arising under intellectual property rights, libel, privacy, publicity, obscenity or other laws. VillageLink also disclaims all liability with respect to the misuse, loss, modification or unavailability of any User content.
• VillageLink will not be liable for any loss that You may incur as a consequence of unauthorized use of Your Account or Account information in connection with the Platform either with or without their knowledge.
• VillageLink shall not be responsible for the delay or inability to use the Platform, VillageLink Services or related functionalities, the provision of or failure to provide functionalities, or for any information, software, functionalities and related graphics obtained through the Platform, or otherwise arising out of the use of the Platform, whether based on contract, tort, negligence, strict liability or otherwise. Further, VillageLink shall not be held responsible for non-availability of the Platform during periodic maintenance operations or any unplanned suspension of access to the Platform that may occur due to technical reasons or for any reason beyond VillageLink’s control. You understand and agree that any material or data downloaded or otherwise obtained through the Platform is done entirely at Your own discretion and risk, and that You will be solely responsible for any damage to Your computer systems or loss of data that results from the download of such material or data.

Indemnity and Limitation of Liability

You agree to indemnify, defend and hold harmless VillageLink and its affiliates including but not limited to its officers, directors, consultants, agents and employees (“Indemnitees”) from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by the Indemnitees that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any obligation, covenant, representation or warranty by You pursuant to these Terms of Use. Further, You agree to hold the Indemnitees harmless against any claims made by any third party due to, or arising out of, or in connection with, Your use of the Platform, VillageLink Services, any misrepresentation with respect to the data or information provided by You in relation to your Account, Your violation of the Terms of Use, or Your violation of any rights of another, including any intellectual property rights. Your indemnification obligation under the Terms of Use will survive the termination of Your Account or use of the Platform or VillageLink Services.

VillageLink takes necessary precautions with respect to information displayed on the platform. However, it is not possible to validate everything. Hence, VillageLink is not liable for any direct, indirect, or consequential damages arising from the use or inability to use the platform. You acknowledge that VillageLink does not guarantee the accuracy, completeness, or reliability of the information provided on the platform.

Terms and Termination

These Terms of Use will continue to apply until terminated by either You or VillageLink. If You object to the Terms of Use or are dissatisfied with the Platform VillageLink Services, You can close Your Account through the Platform and stop accessing the Platform.

VillageLink may, in its sole discretion, bar any User’s use of the Platform or the VillageLink Services at any time, for any or no reason. Even after your Account with VillageLink is disabled, made dormant or inactive, You shall remain liable for all Your uncleared dues with respect to the Services.

VillageLink may delist You or block Your future access to the Platform or suspend or terminate Your Account if it believes, in its sole and absolute discretion that You have infringed, breached, violated, abused, or unethically manipulated or exploited any term of these Terms of Use or anyway otherwise acted unethically. You hereby agree and acknowledge, upon termination, VillageLink shall have the right to retain all information pertaining to the transactions initiated by You on the Platform.

Violation of Terms of Use

Users agree that any violation of these Terms of Use will constitute an unlawful and unfair business practice, causing irreparable harm to VillageLink for which monetary damages would be inadequate. Users consent to VillageLink obtaining any injunctive or equitable relief deemed necessary or appropriate in such circumstances. These remedies are in addition to any other legal or equitable remedies available to VillageLink. If VillageLink takes legal action against users for violating these Terms of Use, VillageLink is entitled to recover from users, and users agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief that may be granted.

Profanity Policy

VillageLink prohibits the use of language that is racist, hateful, sexual or obscene in nature in a public area. This policy extends to your Submissions, Postings and all other areas of the Application that another User may view. We allow Users to ‘blur’ out the bulk of the offending word with asterisks (i.e., s*** or f***). Please report any violations of this policy for review.

 

Modification of Terms and Conditions

VillageLink may at any time modify the terms and conditions contained on the application without any prior notification to the user. You can access the latest version of the Terms and Conditions at any given time. You should regularly review the Terms and Conditions. In the event the modified Terms and Conditions are not acceptable to the You, You are provided with the option of discontinue the usage of the application.

Governing Law

These Terms of Use shall be governed by and constructed in accordance with the laws of India without reference to conflict of laws, principles and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of courts, tribunals, fora, applicable authorities at Bangalore.

Waiver

If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

Cancellation, Return and Refunds

Cancellation

There are no cancellations applicable under VillageLink since we are only a connection platform and we do not manage the transactions entered into between the Subscribers or others on the platform of VillageLink.

Return

As mentioned in the Cancellation header above, VillageLink does not manage the transactions made between Subscribers / Users of VillageLink, there is no return policy since it is not applicable.

 

Refund

VillageLink does not process any refunds whatsoever since VillageLink is a subscription model and the Users are eligible to use the platform for the period to which they have subscribed.

We value your trust and understand the importance of secure transactions and privacy. This Privacy Policy explains how VillageLink and its affiliates (collectively referred to as “VillageLink,” “we,” “our,” or “us”) collect, use, share, or otherwise process your personal data through its mobile application.

You can browse certain sections of the Platform without sharing any information. However, please note that we do not offer any products or services outside of India, and your personal data will primarily be stored and processed in India. By visiting this Platform, providing your information, or using our products/services, you expressly agree to the terms of this Privacy Policy, the Terms of Use, and the applicable service/product terms and conditions, and you agree to be governed by the laws of India, including those related to data protection and privacy. If you do not agree, please do not use or access our Platform.   

Information Collection

As part of our registration process and in order to provide services to you, we may collect personally identifiable information and sensitive personal data. This includes your first and last name, email address, mobile phone number, contact details, demographic profile (such as age, gender, occupation, address, etc.), and other information that can identify you.

We also gather financial information (including payment instrument details, transactions, transaction history, payment preferences, spending patterns, and similar data), track your buying behavior, preferences, information about the pages you visit on our platform, the links you click on, the number of times you access a page, and other information that you choose to provide on our Platform. We use this information to do internal research on our users’ demographics, interests, and behavior to better understand, protect and serve our users. This data will be collected either directly from you or as you navigate through the platform.

“Cookies” are small files placed on your hard drive that assist us in providing our services. We use data collection devices such as “cookies” on certain pages of the Platform to authenticate user, remember user preferences and settings, determining the popularity of content, delivering and measuring the effectiveness of advertising campaigns, analyzing site traffic and trends, session data and generally understanding the online behaviours and interests of the people who interact with our services. You may anytime decline/delete our cookies if your browser permits, although in that case you may not be able to use certain features on the Platform. We use cookies from third-party partners such as Google Analytics for marketing and analytical purposes. Google Analytics helps us understand how our customers use the site. Sharing

We may share your personal data with third-party services such as analytics tools and payment processors to enhance the platform’s performance. We might disclose this information to third parties like sellers and business partners. This sharing is necessary to provide you with access to our products and services, fulfill your orders, enhance your experience, collect payments, comply with legal obligations, conduct market research or surveys, enforce our Terms of Use, facilitate marketing and advertising, analyze data, provide customer service, and prevent, detect, mitigate, and investigate fraudulent or illegal activities related to our products and services.

We may disclose personal data if required by law or in the good faith belief that such disclosure is necessary to respond to summons, notices, court orders, or other legal processes. We may also share personal data with law enforcement agencies, third-party rights holders, or others in the belief that such disclosure is necessary to enforce our Terms of Use or Privacy Policy; to address claims that an advertisement, posting, or other content infringes on third party’s rights; or to protect the rights, property, or personal safety of our users or the public.

We and our affiliates may share or sell some or all of your personal data to another business entity in the event of a merger, acquisition, reorganization, amalgamation, or restructuring. Security

Once your information is in our possession, we follow our security guidelines to protect it against unauthorized access. However, by using the Platform, users accept the inherent risks of data transmission over the internet, which cannot always be completely secure. Therefore, there are certain inherent risks associated with using the Platform. Users are responsible for protecting their login and password records for their account.

 

Choice

We provide you with the choice to manage your communication preferences and opt-out of specific notifications. You can access, correct, and update your personal data directly through the features available on the Platform. When you update information, we typically retain a copy of the previous version for our records. You can delete certain non-mandatory information by logging into our website and navigating to the Profile and Settings sections. Alternatively, you can contact us using the information provided below for assistance with these requests.

Use by Children

Our Platform is available only to individuals who can form a legally binding contract under the Indian Contract Act, 1872. We do not knowingly solicit or collect personal data from children under 18 years of age. If you have provided any personal data of children under 18, you represent that you have the authority to do so and allow us to use the information in accordance with this Privacy Policy.

Consent

By visiting our Platform or providing your personal data, you consent to the collection, use, storage, disclosure, and processing of your personal data on the Platform in accordance with this Privacy Policy. If you provide us with personal data about others, you represent that you have the authority to do so and permit us to use the data as outlined in this Privacy Policy.
